A New House of Windsor — Wilton Re and Sun Life Back a $900m Reinsurer to Take On a $1.7bn In-Force Block

Wilton Re and Sun Life are building a dedicated home for in-force life and annuity blocks. Windsor Life Re will start with $1.7 billion of Wilton Re’s own business and aims to grow to around $10 billion in assets.

The Transaction

Sun Life and Wilton Re have signed a definitive agreement to set up Windsor Life Re, a new reinsurer domiciled in the US and Bermuda and capitalised at about $900 million. Sun Life and Wilton Re will each put up roughly a third of the equity, and the remaining third comes from an undisclosed third-party investor. Wilton Re will establish and manage the vehicle, and Sun Life’s SLC Management will act as lead investment manager.

Windsor’s first transaction will be to reinsure an in-force life and annuity block of about $1.7 billion from Wilton Re. After that, Wilton Re will cede future business to Windsor on a quota share basis, and both partners expect assets to reach about $10 billion at scale. Launch is expected in the first half of 2027, subject to regulatory approvals and customary closing conditions.

Market Context

Capital Partners at the Table. Life legacy buyers are increasingly bringing in partner capital to carry in-force blocks at scale, rather than relying on their own balance sheets alone. In Issue 18, Gazette Watch covered Talcott’s West Grove Re, a Bermuda sidecar raised with Goldman Sachs. Windsor follows the same model, with an asset manager as a founding partner.

Wilton Re has been buying in-force life and annuity blocks since it was founded in 2004 and has completed 26 such transactions. Windsor gives it a standing pool of capital to take a share of future deals, while SLC Management gains a long-dated investment mandate that grows with every block ceded.

JDC VIEW

Windsor is less about one $1.7 billion block than about building a pipeline. A quota share on future business means every deal Wilton Re wins now feeds a vehicle with its own capital and its own asset manager. For the market, it’s another sign that life legacy is becoming a game of capital partnerships, where buyers compete as much on who stands behind them as on price.

Two things to watch before launch: whether the undisclosed third investor is named, and how quickly Windsor starts taking business from beyond Wilton Re’s own books.
