Prismic Takes $5bn from Prudential — Japanese Whole Life Deal Lifts Ties Past $22bn

Prudential has turned to Prismic Life again, this time with about $5 billion of reserves on US dollar whole life policies written by its Japanese affiliates. Counting earlier deals, the pair’s transactions now cover more than $22 billion of liabilities.

The Transaction

Prismic Life has agreed to reinsure about $5 billion of reserves backing US dollar-denominated whole life policies issued by Prudential Financial’s Japanese affiliates. Prudential’s commitments to policyholders are unchanged, and it keeps administering the policies.

Including earlier in-force and flow arrangements, transactions between the two now cover more than $22 billion of US dollar liabilities. Once this deal closes, Prismic expects to manage about $25 billion of assets supporting the liabilities it has taken on. No closing date has been given.

Market Context

A Repeat Customer. This is not a one-off. In January 2025, Prudential transferred about $7 billion of reserves from recently issued Japanese whole life policies to Prismic. It also made an equity investment of about $100 million in the Bermuda reinsurer, alongside about $400 million from other investors. Prismic’s portfolio is managed by PGIM, Prudential’s own asset manager, together with Warburg Pincus.

The arrangement shows how US dollar-denominated Japanese life business has become one of the busiest sources of block reinsurance. Gazette Watch has also tracked Pacific Life Re’s Japan flow deal and Talcott’s arrangements with Japan Post.

Quote
“This is another important milestone in Prismic’s growth journey.”

JDC VIEW

Prudential is a shareholder in Prismic, a client of Prismic and the asset manager behind Prismic’s portfolio. That is the model at its most joined-up. It gives Prudential a way to release capital from Japanese blocks while keeping the assets under its own investment roof. The question for the market is concentration. With more than $22 billion flowing between the same two parties, Prismic’s growth is closely tied to one cedant’s appetite. Watch whether its next deals come from outside the Prudential family.
